Making Vinyl Product Exchange Terms of Use

These Terms of Use (the "Terms") govern access to and use of the Making Vinyl Product Exchange website, related pages, accounts, communications, and listing services (collectively, the "Exchange"). The Exchange is operated by Colonial Purchasing Group, LLC, doing business as Making Vinyl ("Making Vinyl," "we," "us," or "our").

The Exchange is a business-to-business listing and networking service. Making Vinyl does not buy or sell listed products, act as an agent or broker, process payment, arrange shipping, take title to goods, inspect products, or become a party to any transaction between users. Buyers and sellers contract directly with one another and bear all responsibility for their dealings.

PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE EXCHANGE, CREATING AN ACCOUNT, SUBMITTING A LISTING, OR CONTACTING ANOTHER USER THROUGH THE EXCHANGE, YOU AGREE TO THESE TERMS ON BEHALF OF YOURSELF AND, IF APPLICABLE, THE BUSINESS YOU REPRESENT. IF YOU DO NOT AGREE, DO NOT USE THE EXCHANGE.

1. Business Use and Eligibility

The Exchange is intended solely for lawful business and professional use. You must be at least 18 years old and legally capable of entering into a binding agreement. If you use the Exchange for a company or other organization, you represent that you have authority to bind that organization, and "you" includes both you and that organization.

The Exchange is not directed to consumers purchasing primarily for personal, family, or household use. You may not use the Exchange if applicable law prohibits you from doing so, if you are subject to trade sanctions that prohibit the contemplated activity, or if we previously suspended or terminated your access.

2. Accounts and Account Security

You must provide accurate, current, and complete information and keep it updated. You are responsible for all activity under your account, for safeguarding credentials, and for ensuring that each person who uses your account is authorized. You may not impersonate another person or company, create an account using misleading information, transfer an account without our consent, or use another user's account without permission.

Notify us promptly at info@makingvinyl.com if you suspect unauthorized access, credential compromise, fraud, or misuse. We may require reasonable information to verify your identity, business affiliation, ownership of an account, or authority to list particular goods.

3. Nature of the Exchange

The Exchange allows eligible users to publish and view listings and to contact one another. A listing is an invitation for users to communicate; it is not an offer by Making Vinyl and does not create a contract through the Exchange. Making Vinyl does not endorse any user, listing, price, product, service, claim, or transaction.

We do not guarantee that a user is who the user claims to be; that an item exists, is available, authentic, lawful, safe, functional, accurately described, or fit for a particular purpose; that a party has authority to buy or sell; that a transaction will be completed; or that payment, delivery, installation, acceptance, refund, warranty, or other obligations will be performed.

4. User Responsibilities and Due Diligence

Before entering into a transaction, each buyer and seller must conduct its own commercial, technical, legal, financial, sanctions, tax, insurance, and counterparty due diligence. Appropriate diligence may include verifying legal identity and authority, inspecting equipment or inventory, confirming serial numbers and provenance, obtaining samples, reviewing maintenance and safety records, checking intellectual-property rights, using written purchase terms, confirming export and import requirements, and selecting secure payment, escrow, freight, and insurance arrangements.

You are solely responsible for negotiating and documenting all transaction terms, including price, currency, deposits, payment timing, taxes, title, risk of loss, inspection, acceptance, warranties, regulatory compliance, export, import, customs, packaging, dismantling, loading, shipping, installation, returns, refunds, and dispute resolution.

5. Listing Requirements

A listing must be truthful, current, sufficiently detailed, placed in the appropriate category, and supported by photographs or other material you are authorized to use. The person posting a listing represents and warrants that:

the seller owns the item or is expressly authorized by the owner to market and sell it;

the listing and contemplated transaction comply with all applicable laws, regulations, contracts, licenses, and industry requirements;

all material facts known to the seller are disclosed, including condition, defects, modifications, safety concerns, title restrictions, liens, location, availability, and whether photographs are representative rather than images of the actual item;

all claims concerning authenticity, origin, manufacturer, specifications, capacity, certification, sustainability, performance, and intellectual-property rights are accurate and can be substantiated;

the listed price and commercial terms are not deceptive, and any taxes, commissions, dismantling, loading, shipping, or other material charges are clearly identified; and

contact information and responses to inquiries are accurate and professional.

You must promptly update, pause, or remove a listing when an item is sold, withdrawn, unavailable, materially changed, or no longer accurately described. Duplicate, keyword-stuffed, misleading, speculative, or bait-and-switch listings are prohibited.

6. Prohibited Items and Conduct

You may not use the Exchange to list, advertise, request, promote, facilitate, or transact in:

counterfeit, pirated, bootleg, stolen, fraudulently obtained, unlawfully duplicated, or misappropriated goods or recordings;

items that infringe copyrights, trademarks, patents, trade secrets, rights of publicity, contractual rights, or other proprietary rights;

hazardous, recalled, defective, unsafe, unlawfully modified, or regulated products unless the listing and transfer are lawful and all required disclosures, permits, and controls are satisfied;

goods or technology whose sale, export, import, shipment, or use would violate sanctions, export controls, customs rules, environmental law, workplace-safety rules, or other applicable requirements;

weapons, illegal drugs, obscene or exploitative material, personal data sold without lawful authority, or any other illegal goods or services; or

any item or service that we reasonably determine creates undue legal, safety, fraud, reputational, or operational risk.

You also may not:

engage in fraud, deception, price manipulation, collusion, bid rigging, money laundering, phishing, harassment, discrimination, threats, or unlawful competition;

circumvent access controls, probe or disrupt security, introduce malicious code, scrape or harvest data, use automated means without written permission, overload the Exchange, or reverse engineer any portion of it except where law expressly permits;

use Exchange data to build a competing directory or marketplace, send unsolicited bulk communications, or market unrelated products or services;

post confidential information, personal data, or third-party content without a lawful basis and all required permissions; or

encourage, assist, or attempt any prohibited activity.

7. Transactions Between Users

Any contract arising from a listing is exclusively between the buyer and seller. Making Vinyl is not a party, third-party beneficiary, fiduciary, agent, auctioneer, dealer, distributor, reseller, manufacturer, employer, joint venturer, insurer, carrier, warehouse, payment provider, or guarantor. No communication or feature of the Exchange changes that status unless Making Vinyl signs a separate written agreement expressly stating otherwise.

Users must resolve transaction complaints directly with one another. Making Vinyl has no obligation to mediate, adjudicate, refund, reimburse, repair, replace, collect, deliver, or enforce a transaction. We may, in our discretion, request information about a dispute or take platform-level action, but doing so does not make us responsible for the transaction or create a duty to continue assisting.

8. Payments Taxes Shipping and Insurance

The Exchange does not process or hold transaction funds. Users select and use payment, escrow, financing, shipping, logistics, inspection, installation, and insurance providers at their own risk. Avoid payment methods that cannot be verified or recovered and independently confirm any change to payment instructions.

Each user is responsible for determining, collecting, reporting, withholding, and paying all applicable taxes, duties, tariffs, fees, and assessments. Sellers are responsible for legally compliant packaging and disclosure of hazardous materials. The parties must allocate title and risk of loss in their written agreement and obtain suitable cargo, liability, property, workers compensation, or other insurance.

9. Compliance With Laws and Trade Controls

You must comply with all laws applicable to your use of the Exchange and any transaction, including laws concerning anti-bribery, anti-corruption, antitrust, competition, sanctions, export controls, customs, taxation, product safety, machinery safety, environmental protection, waste, hazardous materials, employment, privacy, marketing, and intellectual property.

You represent that neither you nor, to your knowledge, your controlling owners or transaction counterparties are prohibited or restricted parties in a manner that would make your use or transaction unlawful. You may not use the Exchange for a prohibited destination, end user, or end use. You are responsible for obtaining required licenses and screening counterparties and destinations.

10. User Content and License

"User Content" means listings, photographs, logos, descriptions, messages, reviews, reports, and other material you submit or make available through the Exchange. You retain ownership of your User Content. You grant Making Vinyl a worldwide, nonexclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, format, adapt for display, publish, distribute, and otherwise use User Content as reasonably necessary to operate, secure, improve, promote, and provide the Exchange and Making Vinyl's related industry services. This license ends when the content is deleted from active systems, except for reasonable backup retention, legal compliance, enforcement, and content already used in distributed promotional material.

You represent and warrant that you own or control all rights needed for your User Content; that it is accurate and lawful; and that our permitted use will not infringe or violate another person's rights. You waive, and agree not to assert, moral rights to the extent permitted by law. Do not submit information you consider confidential unless a separate written confidentiality agreement applies.

11. Intellectual Property and Infringement Reports

The Exchange, including its software, design, selection, organization, text, graphics, logos, and other content supplied by Making Vinyl, is owned by or licensed to Making Vinyl and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, nonexclusive, nontransferable right to use the Exchange for its intended business purpose. No other rights are granted.

If you believe content on the Exchange infringes your rights, send a notice to info@makingvinyl.com identifying the protected work or right, the challenged content and its location, your contact information, a good-faith statement, a statement of accuracy and authority, and your physical or electronic signature. For a United States copyright notice under the Digital Millennium Copyright Act, also include all information required by 17 U.S.C. section 512(c)(3). Our designated copyright agent information, if applicable, should be published at [DMCA AGENT PAGE OR ADDRESS]. We may remove content and terminate repeat infringers where appropriate.

12. Monitoring Moderation and Enforcement

We may, but are not obligated to, review, verify, reject, edit, restrict visibility of, remove, preserve, or disclose accounts, listings, messages, and other content. We may warn, suspend, or terminate users; impose listing limits; request documents; block transactions or communications; and cooperate with rights holders, regulators, and law enforcement when we reasonably believe action is necessary to enforce these Terms, protect users or third parties, comply with law, address fraud or security, or protect the Exchange and Making Vinyl.

Moderation may involve judgment and may not identify every inaccurate, unlawful, or harmful item. A failure or delay in enforcement is not approval and does not waive our rights. Where applicable law requires notice, reasons, an appeal process, or other procedural rights, we will provide them as required.

13. Reporting Suspicious or Illegal Activity

Report suspected fraud, counterfeit or stolen goods, unsafe products, illegal content, sanctions concerns, or other suspicious activity by email to info@makingvinyl.com. Include the listing URL, user information, a clear description, and supporting material. For urgent threats to life or safety, contact local emergency services first.

Knowingly false, abusive, or bad-faith reports are prohibited. We may share a report and related information when reasonably necessary to investigate, protect affected parties, enforce these Terms, or comply with law, subject to our Privacy Policy and applicable legal restrictions.

14. Privacy and Electronic Communications

Our collection and use of personal information are described in the Making Vinyl Product Exchange Privacy Policy section of the website. The Privacy Policy is incorporated by reference to the extent permitted by law. Business users who upload or disclose personal information must have an appropriate lawful basis and provide all required notices.

You consent to receive transactional and service communications electronically, including account, listing, security, policy, and legal notices. Marketing communications are subject to applicable law and stated opt-out methods. You are responsible for maintaining a working email address and checking communications associated with your account.

15. Third Party Services and Links

The Exchange may contain links to, integrations with, or information about third-party websites and services. Making Vinyl does not control or endorse them and is not responsible for their availability, security, content, privacy practices, terms, products, or conduct. Your use of a third-party service is governed by your agreement with that provider.

16. Availability and Changes to the Exchange

We may add, modify, suspend, limit, or discontinue any part of the Exchange at any time. We do not guarantee uninterrupted, secure, or error-free operation; preservation of content; compatibility; search ranking; traffic; inquiries; sales; or any particular business result. You should retain your own copies of listings, communications, contracts, records, and evidence needed for legal or business purposes.

17. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE EXCHANGE IS PROVIDED "AS IS" AND "AS AVAILABLE." MAKING VINYL DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AUTHENTICITY, SAFETY, CONDITION, QUALITY, AVAILABILITY, SECURITY, AND WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.

MAKING VINYL DOES NOT WARRANT OR REPRESENT THAT USERS, LISTINGS, GOODS, SERVICES, PRICES, CLAIMS, DOCUMENTS, COMMUNICATIONS, OR TRANSACTIONS ARE ACCURATE, AUTHENTIC, LEGAL, SAFE, COMPLETE, RELIABLE, OR SUITABLE. TECHNICAL AND COMMERCIAL INFORMATION ON THE EXCHANGE IS NOT LEGAL, TAX, FINANCIAL, ENGINEERING, SAFETY, APPRAISAL, OR OTHER PROFESSIONAL ADVICE.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS. IN THAT EVENT, THE EXCLUSIONS APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAKING VINYL AND ITS AFFILIATES, MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS, REVENUE, BUSINESS, SAVINGS, OPPORTUNITY, GOODWILL, OR DATA; BUSINESS INTERRUPTION; PERSONAL INJURY OR PROPERTY DAMAGE ARISING FROM A USER OR TRANSACTION; OR COSTS OF SUBSTITUTE GOODS OR SERVICES, EVEN IF ADVISED THAT SUCH DAMAGES MAY OCCUR.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF MAKING VINYL AND THE OTHER RELEASED PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE EXCHANGE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO MAKING VINYL FOR USE OF THE EXCHANGE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

THESE LIMITATIONS APPLY REGARDLESS OF THE FORM OF ACTION AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. THEY DO NOT LIMIT LIABILITY THAT CANNOT LAWFULLY BE LIMITED, INCLUDING LIABILITY FOR WILLFUL MISCONDUCT OR OTHER LIABILITY THAT APPLICABLE LAW PROHIBITS THE PARTIES FROM EXCLUDING.

19. Release of Transaction Claims

To the maximum extent permitted by law, you release Making Vinyl and its affiliates, members, managers, officers, directors, employees, contractors, licensors, and service providers from claims, demands, damages, and disputes arising from or relating to another user, a listing, an inspection, negotiations, payment, shipment, installation, product condition, infringement, nonperformance, or any transaction between users. This release does not apply to a claim based directly on Making Vinyl's own conduct that cannot lawfully be released.

20. Indemnification

You will defend, indemnify, and hold harmless Making Vinyl and its affiliates, members, managers, officers, directors, employees, contractors, licensors, and service providers from and against third-party claims, investigations, proceedings, liabilities, judgments, settlements, penalties, losses, damages, costs, and reasonable attorneys' fees arising out of or relating to: (a) your use of the Exchange; (b) your account, listing, User Content, goods, services, communications, or transaction; (c) your breach of these Terms; or (d) your violation of law or another person's rights. We may control the defense with counsel of our choice, and you will reasonably cooperate. You may not settle a claim in a manner that admits fault by or imposes obligations on an indemnified party without our written consent.

21. Suspension Termination and Survival

You may stop using the Exchange at any time and may request account closure through by sending an email to info@makingvinyl.com. We may suspend, restrict, or terminate access immediately when reasonably necessary for security, legal compliance, enforcement, risk management, nonpayment of any platform fee, or protection of the Exchange or others. Where required by law, we will provide notice and any applicable review or appeal rights.

Termination does not affect accrued rights or obligations. Provisions that by their nature should survive will survive, including those concerning transactions, intellectual property, User Content licenses needed for retained materials, disclaimers, releases, liability limitations, indemnification, disputes, and general terms.

22. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them or the Exchange are governed by the laws of the State of Florida, without regard to conflict-of-law rules, except to the extent federal law controls or applicable law does not permit this choice.

The state courts located in Orange County, Florida, and the United States District Court having jurisdiction over Orange County, Florida, will have exclusive jurisdiction and venue. You and Making Vinyl consent to personal jurisdiction in those courts and waive objections based on venue or inconvenient forum. EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES, TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANY RIGHT TO A TRIAL BY JURY IN A DISPUTE ARISING FROM OR RELATING TO THESE TERMS OR THE EXCHANGE.

Before filing a claim, a party must send a written notice describing the dispute and requested relief and allow 30 days for good-faith informal resolution. This requirement does not prevent either party from seeking urgent injunctive relief, protecting intellectual-property rights, preserving a limitations period, or complying with a legal deadline.

23. Changes to These Terms

We may revise these Terms from time to time. We will post the revised Terms and update the effective date. If a change materially affects your rights or obligations, we will provide additional notice when required by law. Changes apply prospectively from the stated effective date. Continued use after the effective date constitutes acceptance; if you do not agree, you must stop using the Exchange.

24. General Terms

These Terms, the Privacy Policy, and any policies expressly incorporated by reference are the entire agreement concerning the Exchange, unless you and Making Vinyl sign a separate agreement that expressly overrides a provision. A purchase or sale contract between users does not bind Making Vinyl.

If a provision is held invalid or unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms in connection with an affiliate relationship, reorganization, merger, acquisition, financing, or sale of assets, or by operation of law. No person other than the parties and the expressly indemnified or released parties has rights under these Terms.

Section headings are for convenience only. "Including" means "including without limitation." Electronic records, notices, and signatures may be used to the extent permitted by law. Neither party is liable for delay caused by events beyond its reasonable control, except that this sentence does not excuse payment or legal-compliance obligations.

Notices to you may be sent to the email or business address associated with your account or posted through the Exchange. Notice is effective when received, except that posted or emailed changes to these Terms are effective as stated in Section 23.
